1. Introduction
These Terms and Conditions govern the supply of packaging products by Sapire Limited ("Sapire", "we", "us") to business customers ("you", "the Buyer"). By placing an order with Sapire, you agree to be bound by these terms.
These terms apply to all B2B transactions. If you are a consumer purchasing for personal use, different statutory rights may apply.
2. Definitions
- Order — a purchase order or quote request submitted by the Buyer
- Products — packaging goods supplied by Sapire
- Contract — the agreement formed when Sapire accepts an Order
- Working Day — Monday to Friday, excluding UK public holidays
3. Orders and Acceptance
All Orders are subject to acceptance by Sapire. A Contract is formed only when Sapire issues a written order confirmation or invoice. We reserve the right to decline any Order without obligation.
Quotations are valid for 14 days from issue and are subject to availability. Prices quoted exclude VAT unless otherwise stated.
4. Pricing and Payment
All prices are in GBP and exclusive of VAT, which will be charged at the applicable UK rate. Standard payment terms are 30 days from invoice date unless otherwise agreed in writing.
We reserve the right to charge interest on overdue invoices at 8% per annum above the Bank of England base rate under the Late Payment of Commercial Debts (Interest) Act 1998. Title to Products does not pass until full payment is received.
5. Delivery
Delivery timescales are estimates only and time is not of the essence. Risk in the Products passes to you on delivery. You must inspect Products on delivery and report any damage or shortfall within 48 hours. Minimum order quantities (MOQ) may apply and will be specified at the time of quotation.
Sapire is not liable for delays caused by circumstances beyond our reasonable control.
6. Returns and Complaints
We do not accept returns of correctly supplied Products. If Products are faulty or incorrectly supplied, notify us within 5 Working Days of delivery with photographic evidence. We will arrange collection and replacement or issue a credit note at our discretion.
Custom printed or bespoke Products cannot be returned unless defective.
7. Custom Packaging
For custom printed orders, you are responsible for supplying artwork in the correct format and confirming proof sign-off. Sapire is not liable for errors in approved artwork. Artwork files and printing plates remain the property of Sapire unless otherwise agreed in writing.
8. Limitation of Liability
To the fullest extent permitted by law, Sapire's total liability for any claim arising from a Contract shall not exceed the price paid for the Products giving rise to the claim. We are not liable for indirect, consequential, or economic loss including loss of profit, revenue, or business opportunity.
9. Intellectual Property
All intellectual property on our website and in our catalogues remains the property of Sapire Limited. You may not reproduce or use our materials without written consent.
10. Governing Law
These Terms are governed by English law. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
